1. Acceptance of Terms
Welcome to Quodos! These Terms of Service ("Terms") govern your access to and use of Quodos, a Human Resource Information System (HRIS) and payroll management platform operated by Primesavant Inc. ("Company," "we," "our," or "us").
By creating an account or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use Quodos.
2. Description of Services
Quodos provides the following services:
- Employee Management: Digital 201 files, personnel records, and organizational management
- Payroll Processing: Automated salary computation, deductions, and payslip generation
- Statutory Compliance: SSS, PhilHealth, Pag-IBIG contributions and BIR tax computations
- Time & Attendance: Timekeeping with biometric device integration
- Leave Management: Leave requests, approvals, and balance tracking
- Government Reports: BIR 2316, Alphalist, and other mandatory reports
3. Account Registration
3.1 Eligibility
To use Quodos, you must:
- Be at least 18 years of age
- Be a registered business entity in the Philippines or an authorized representative
- Provide accurate and complete registration information
- Have the authority to bind your organization to these Terms
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring that account access is restricted to authorized personnel only
4. Subscription and Payment
4.1 Pricing
Quodos offers various subscription plans. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.
4.2 Billing
- Subscriptions are billed monthly or annually, depending on your chosen plan
- Payment is due at the beginning of each billing period
- All fees are exclusive of applicable taxes (VAT)
- Refunds are provided in accordance with our refund policy
4.3 Free Trial
New users may be eligible for a 14-day free trial. No credit card is required during the trial period. At the end of the trial, you may choose to subscribe or your account will be deactivated.
5. User Responsibilities
As a user of Quodos, you agree to:
- Data Accuracy: Ensure all employee and company data entered is accurate and up-to-date
- Legal Compliance: Comply with all applicable Philippine labor laws, tax regulations, and data privacy requirements
- Proper Use: Use the platform only for legitimate HR and payroll purposes
- Consent: Obtain necessary consent from employees for data collection and processing
- Security: Implement appropriate security measures within your organization
6. Prohibited Activities
You may not use Quodos to:
- Violate any applicable laws or regulations
- Process payroll for illegal activities or unregistered workers
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our software
- Share account credentials with unauthorized parties
- Upload malicious code or interfere with platform operations
- Use automated systems to scrape or extract data
- Resell or sublicense our services without authorization
7. Data Ownership and Portability
7.1 Your Data
You retain ownership of all data you upload to Quodos. We claim no intellectual property rights over your employee records, payroll data, or company information.
7.2 Data Export
You may export your data at any time through our export features. Upon account termination, you will have 30 days to export your data before it is permanently deleted.
7.3 Our License
You grant us a limited license to use, process, and store your data solely for the purpose of providing our services to you.
8. Service Availability
8.1 Uptime
We strive to maintain 99.9% service availability. Scheduled maintenance will be announced in advance whenever possible.
8.2 Support
Technical support is available via email and in-app chat during business hours (Monday-Friday, 9AM-6PM PHT). Premium plans include priority support.
9. Limitation of Liability
To the maximum extent permitted by law:
- Quodos is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not responsible for errors in payroll calculations resulting from incorrect data entry by users
10. Indemnification
You agree to indemnify and hold harmless Primesavant Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of Quodos
- Your violation of these Terms
- Your violation of any applicable laws
- Inaccurate data you provide
11. Termination
11.1 By You
You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period.
11.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activities
- Upon 30 days' notice for any reason
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of Quodos after changes become effective constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Quezon City, Metro Manila.
